These Terms of Use (the "Agreement") explain the terms and conditions by which you may access and use the products and services provided by Byzanlink at https://byzanlink.com, https://markets.byzanlink.com/ and operated by Byzanlink Corp. (“Byzanlink” or “Us” or “We”)
The products and services shall include but shall not necessarily be limited to; (a) https://byzanlink.com and https://markets.byzanlink.com/, a website hosted user interface (the "Interface" or "Platform") and (b) any other products or services that link to this Agreement (“Vaults” or collectively, the “Products”). You must read this Agreement carefully as it governs your use of the Products. By accessing or using any of the Products, you signify that you have read, understand, and agree to be bound by this Agreement in its entirety. DISCLAIMER. THIS AGREEMENT CONTAINS IMPORTANT INFORMATION, INCLUDING A BINDING ARBITRATION PROVISION AND A CLASS ACTION WAIVER, BOTH OF WHICH IMPACT YOUR RIGHTS AS TO HOW DISPUTES ARE RESOLVED. OUR PRODUCTS ARE ONLY AVAILABLE TO YOU AND YOU SHOULD ONLY ACCESS ANY AND ALL OF OUR PRODUCTS IF YOU AGREE COMPLETELY WITH THESE TERMS.
Our Products:
The Interface. The Interface provides a web-based means of access to one or more decentralized protocols deployed on various public blockchains, including but not limited to other public blockchains that such protocol(s) may deploy to in the future (the “Protocol”). The Interface is distinct from the Protocol and is one, but not the exclusive means of accessing the Protocol. The Protocol is composed of open-source or source-available self-executing smart contracts that are deployed on various public blockchains. Although Byzanlink may develop, maintain, or make available the Interface as a software access tool, Byzanlink does not operate, control, administer, or hold custody of the Protocol or user assets, and does not control public blockchains. Certain Protocols accessible through the Interface may enable users to deposit or stake digital assets and receive vault tokens or similar on-chain representations of positions, and may allow users to earn yield, rewards, or other protocol-defined outcomes. All yields are variable, may fluctuate, and may be zero. Past performance does not guarantee future results.
Non-custodial. Built entirely on-chain with a non-custodial architecture, the Products are designed such that users retain control of their assets through their self-custodial wallets. Byzanlink does not take custody of user assets and cannot access users’ private keys, seed phrases, or wallets.
Third-party vaults and RWAs. Vaults, strategies, adapters, and any real-world asset (“RWA”) exposures accessible through the Interface may be made available by independent third parties. Byzanlink does not act as an issuer, sponsor, investment manager, fiduciary, broker, dealer, advisor, or counterparty in relation to any vault, strategy, or underlying asset..
Process Flow. Users may access a vault or protocol feature by connecting a self-custody wallet. Wallet addresses may undergo automated screening using third-party tools; wallets flagged as high-risk may be blocked from interacting with certain smart contracts. Approved users may deposit supported tokens directly into vault smart contracts, with Byzanlink retaining no custody or control of such assets. Where applicable, upon deposit, the relevant smart contract(s) may mint vault tokens representing a proportional on-chain position as determined by the Protocol’s rules and smart contract logic. Deposited assets may be allocated via smart contracts and/or adapter contracts to third-party strategies or third-party RWA-related vehicles (where applicable), which may result in variable yield or rewards according to the Protocol and third-party mechanics. Redemption requests, liquidity timing, settlement timing, and related mechanics (including any withdrawal manager functionality) are determined by the relevant smart contracts and may be subject to liquidity, protocol constraints, third-party actions, or blockchain conditions. Timing estimates, if shown, are indicative only and not guaranteed.
Yield Generation and NAV Accruals. Where applicable, yield or rewards generated from the Protocol or any integrated strategies may accrue to a vault’s on-chain accounting (including any exchange rate or net asset value mechanics) as determined by smart contract logic and third-party inputs, if any. Yield is variable, may fluctuate, and may be zero. Past performance does not guarantee future results. Byzanlink makes no representation or guarantee regarding yield, liquidity, NAV behavior, or performance.
Account. To access and use certain services offered by Byzanlink through the Interface (“Service”), you may be required to create and maintain a user account (“Account”) for interface-level features. You agree to provide accurate, current, and complete information during the registration process and to update such information on an ongoing basis to ensure its continued accuracy. You are solely responsible for maintaining the confidentiality and security of your login credentials, private keys, wallet addresses, and any other authentication mechanisms linked to your Account, and for all activities conducted through or in connection with your Account. Byzanlink shall not be liable for any loss or damage arising from unauthorized access to your Account resulting from your failure to safeguard such information. You agree to immediately notify Byzanlink of any suspected or actual unauthorized use, security breach, compromise of credentials, or irregular activity.
Termination and Suspension of Account. Byzanlink reserves the right to suspend, restrict, or terminate your Account at its sole discretion, including where required to comply with applicable law, sanctions obligations, or internal risk controls, or where false, misleading, or incomplete information has been provided. Account may be terminated for ant reason or no reason whatsoever including when:
we are, in our sole opinion, required to do so by any Applicable Laws;
we reasonably believe that we need to do so in order to protect our reputation or goodwill;
you have not complied with, or we reasonably suspect you of acting in breach of, any terms, conditions or provisions in these Agreement;
we detect any unusual activity in or unauthorized access to your Accounts;
we have determined or suspect that there is any occurrence of money laundering, terrorist financing, fraud, or any other financial crime, or if your activities are in breach of any sanctions related laws, regulations, orders, rules or code of conduct;
we have determined or suspect that there is any occurrence or involvement of unlicensed gambling, scams, high risk business, purchase of drugs, conduct of multi-level marketing, ransomware, transactions in darknet market, transactions in high-risk exchanges, and/or transactions with sanctioned countries, individuals or entities or politically exposed persons;
use of your Account is subject to any pending litigation, investigation, and/or government proceeding, and/or we perceive a heightened risk of legal or regulatory non-compliance associated with your Account;
we have determined or suspect that you have directly or indirectly registered any Account in another person's name;
any information that you have provided to us is untruthful, inaccurate, outdated or incomplete;
these Terms have been amended, and you are unwilling to accept any of the terms, conditions or provisions of the amended Agreement;
you have requested that we terminate or suspend the provision of any Services to you; and/or
any other circumstance (including due to external market movements and conditions) has arisen where we consider it necessary to terminate or suspend any of its Services.
For clarity, any restriction or termination of Interface access does not imply custody or control over user assets, which remain governed by the applicable smart contracts and public blockchains.
Additional Products. Additional products may include other non-custodial interfaces, vault access features, tokenized positions, as well as any future services developed by Byzanlink DMCC. that link to this Agreement.
Eligibility:
To access or use any of our Products, you must be able to form a legally binding contract with us. Accordingly, you represent that you are at least the age of majority in your jurisdiction and have the full right, power, and authority to enter into and comply with the terms and conditions of this Agreement on behalf of yourself and any company or legal entity for which you may access or use the Interface. If you are entering into this Agreement on behalf of an entity, you represent to us that you have the legal authority to bind such entity.
You further represent that you are not (a) the subject of economic or trade sanctions administered or enforced by any governmental authority or otherwise designated on any list of prohibited or restricted parties (including but not limited to the list maintained by the Office of Foreign Assets Control of the U.S. Department of the Treasury) or (b) a citizen, resident, organized, or otherwise located in a jurisdiction where the Interface may be ineligible for use (including without limitation the United States of America) (collectively, “Restricted Persons”), or (c) a citizen, resident, organized, or otherwise located in a jurisdiction or territory that is the subject of comprehensive country-wide, territory-wide, or regional economic sanctions.
You may not use the Products and Services if you are located in, or a citizen or resident of, any state, country, territory or other jurisdiction where we have determined, at our discretion, to prohibit use of the Services.
IF YOU ARE A RESTRICTED PERSON, THEN DO NOT USE OR ATTEMPT TO USE THE INTERFACE. USE OF ANY TECHNOLOGY OR MECHANISM, SUCH AS A VIRTUAL PRIVATE NETWORK (“VPN”) TO CIRCUMVENT THE RESTRICTIONS SET FORTH HEREIN IS PROHIBITED.
EACH TIME YOU ACCESS OR USE THE INTERFACE, YOU CONFIRM THAT (A) YOU ARE NOT A RESTRICTED PERSON AND (B) YOU (INCLUDING, IF APPLICABLE, YOUR INDIVIDUAL OWNERS, REPRESENTATIVES, EMPLOYEES) WILL NOT COORDINATE, CONDUCT OR CONTROL (INCLUDING BY, IN SUBSTANCE OR EFFECT, MAKING DECISIONS WITH RESPECT TO) YOUR USE OF THE INTERFACE FROM WITHIN THE UNITED STATES OF AMERICA OR ANY RESTRICTED TERRITORY.
Assumption of Risk:
By accessing and using any of our Products, you represent that you are financially and technically sophisticated enough to understand the inherent risks associated with using cryptographic and blockchain-based systems, and that you have a working knowledge of the usage and intricacies of digital assets such as stablecoins, tokenized RWAs, and other digital tokens. In particular, you understand that the markets for digital assets are nascent and highly volatile due to risk factors including, but not limited to, adoption, speculation, technology, security, and regulation.
You acknowledge that the USYB Vault of tokens and services accessed through the Interface may be affected by external factors such as market conditions, regulatory changes, or the performance of underlying assets. You assume all risks associated with losses while digital assets are being supplied to the Protocol, including but not limited to losses due to price fluctuations or smart contract failures.
Fees and Charges:
Services, and your maintenance, termination or cancellation of your Account. You agree to pay us any and all prevailing fees charged by us from time to time.
You also acknowledge and agree that we shall have sole and absolute discretion, at any time and from time to time, to impose new fees or adjust any existing fees. If you do not agree to any changes in fees, you may terminate your Account and cease using the Services, however, you expressly acknowledge and agree that any termination of your Account and ceasing to use the Services shall not affect or otherwise extinguish any accrued fees and charges which shall still be due and immediately payable to Byzanlink upon termination of your Account and/or seizure to use the Services.
We pass-through transactional fees to Users. This can include transfer fees related to blockchain transactions. You are solely responsible for paying any transactional fees. In addition, fees may be imposed for transacting on the blockchain or by a third-party service provider that operates your funding source. Any fees imposed by your third-party service provider may not be reflected on the Platform as these fees are not imposed by us. You are solely responsible for paying any fees imposed by the third-party service provider on you and you expressly acknowledge and agree that you shall keep the Indemnified Persons fully indemnified and harmless against any direct, indirect, special or consequential losses (including loss of profits, business, or opportunities), damages or costs by reason of, or arising from, or as a consequence of, fees imposed by such third-party service provider.
You acknowledge and agree that Byzanlink is entitled to receive a performance fee on the net yield (if any) generated on your holdings in the relevant product, which will be automatically deducted from the redemption proceeds at the time of redemption in accordance with the applicable product terms.
Disclaimers:
No Warranties. The Product is provided "as is," and without warranties of any kind. Although Byzanlink DMCC., has developed most of the initial code for the Product, it does not provide, own, or control the Product, which is run by smart contracts deployed on public blockchains.
Third-Party Services. The Platform may integrate with third-party services, such as smart contract developers, data providers, or custody providers amongst others. We are not responsible for the performance, security, or availability of these third-party services. Your use of such services is at your own risk and subject to the terms of those providers.
Representations, Warranties and Undertaking:
By using the Product and Services and Account you hereby represent and warrant and undertake to Byzanlink that:
all consents, permissions, authorisations, approvals and agreements of third parties and all authorisations, licenses, approvals, permissions, consents, registrations, declarations, filings with any regulatory authority, governmental department, commission, agency or other organisation having jurisdiction over you (and/or your representatives) which are necessary or desirable for you (and/or your representatives) to obtain in order to (i) access and use the Platform and/or the Services and (ii) enter into and perform your obligations under these Terms and any other agreements entered into pursuant to, or in connection with, these Terms, have been unconditionally obtained in writing and have been disclosed in writing to us and have not been withdrawn or amended;
your access and use of the Platform and/or the Services, and the performance of your obligations under these Terms and any other agreements entered into pursuant to, or in connection with, these Terms, will not: (i) if you are an entity, result in a breach of or conflict with any provision of your constitution (or equivalent constitutive documents); (ii) result in a breach of, or constitute a default under, any instrument, agreement, document or undertaking to which you are a party or by which you or any of your property is bound or subject; and (iii) result in a breach of any Applicable Laws, or any award of any arbitrator, court or governmental or regulatory authority in any jurisdiction;
all the activities that you carry out during the use of the Platform and Product will be in compliance with the requirements of all Applicable Laws as well as the various policies of Byzanlink;
you shall not:
breach any of the terms and conditions of this Agreement or any other agreements entered into pursuant to, or in connection with, this Agreement.
violate or attempt to violate any Applicable Laws or policies of Byzanlink;
violate Byzanlink's or any third party's copyright, patent, trademark, trade secret or other intellectual property rights, or rights of publicity or privacy;
violate public interests, public ethics or other legitimate interests including taking any action that would interfere with, disrupt, negatively affect, or inhibit other users from using the Platform, services or the Product.
act in a manner that is defamatory, trade libellous, threatening or harassing;
provide false, inaccurate, incomplete or misleading information;
engage in or assist in engaging in potentially fraudulent or suspicious activities and/or transactions;
modify, reproduce, duplicate, copy, download, store, further transmit, disseminate, transfer, disassemble, broadcast, publish, remove or alter any proprietary notices or labels, license, sublicense, sell, mirror, frame, rent, lease, private label, grant a security interest in, create derivative works of, or otherwise exploit the Services, or any portion of the Services without Byzanlink’s prior written consent or unless otherwise permitted by Applicable Laws;
take any action that may cause us to lose any of the services from our internet service providers, or other suppliers;
there is no pending claim, action, suit or proceedings at law or in equity (in any jurisdiction) before any court, tribunal, governmental body, agency, official or any arbitrator that is likely to affect the legality, validity or enforceability against you and/or the legal entity you act on behalf of, or your ability to perform the obligations under this Agreement;
Should you breach any of the above representations, warranties and/or undertakings, Byzanlink reserves the right to take any action against you or your Accounts, whether for a specified period of time or indefinitely, including:
refusing to allow the minting, issuance or redemption of any USYB value token;
suspending or terminating your Account;
reporting the incident or breach to the relevant authorities;
publishing the alleged breach and actions that have been taken; and/or
deleting any information you published that is in breach of the representation, warranty and/or undertaking.
Under no circumstances shall any of the Indemnified Persons be responsible or liable to you or any other person or entity for any direct, indirect, special or consequential losses (including loss of profits, business, or opportunities), damages or costs by reason of, or arising from, or as a consequence of, any action taken against you or your Accounts should you breach any of the above representations, warranties and/or undertakings.
Intellectual Property: The Interface and Product, including their design, code, and content, are open-source or source-available software, and their use is governed by their applicable licenses. You must comply with these licenses when interacting with the Interface or Product.
Prohibited Activities:
Prohibitions: You Agree not to engage in the following activities:
Use the Products for any illegal or unauthorized purpose, including violating any applicable laws or regulations. IT IS YOUR RESPONSIBILITY TO ENSURE COMPLIANCE WITH ANY APPLICABLE LAWS OR REGULATIONS IN THE JURISDICTION(S) GOVERNING YOUR CONDUCT
Attempt to hack, disrupt, or interfere with the operation of the Interface or Protocol.
Use the Products to engage in market manipulation, fraud, or deceptive practices.
Misrepresent your identity or affiliation when using the Products.
Otherwise engage in any illegal or illicit or non-compliant activity utilizing the Interface or Product.
Illegal Activity Screening. All wallet addresses utilizing the Interface or Product shall be screened against third-party blockchain analytics firms’ databases of wallet addresses connected with illicit activity or sanctions (“Suspicious Wallets”). For wallet addresses that have previously deposited tokens utilising the Product and have subsequently been reclassified as Suspicious Wallets, vault tokens associated with such wallet addresses may be frozen. Once a vault token is associated with a Suspicious Wallet and is frozen, Byzanlink DMCC. has limited administrative privileges as it relates to the smart contract code that results in the freezing of assets connected to Suspicious Wallets. If you believe your wallet address has been incorrectly screened by the Interface or your vault tokens incorrectly frozen, please contact [email protected] for further assistance.
Children Under the Age of 18: The Platform and Product is not intended for children under 18 years of age, and we do not knowingly collect personal information from children under 18. If we learn we have collected or received personal information from a child under 18 without verification of parental consent, we will delete that information. Exclusion of Liability and Indemnity:
To the fullest extent permitted by applicable law, Byzanlink, its affiliates, directors, officers, employees, agents, and service providers shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or in connection with your access to or use of the Platform or the Services and Product, including but not limited to:
loss of profits, yield, income, or anticipated savings;
loss of digital assets, including due to wallet mismanagement, private key compromise, or transaction errors;
system failures, smart-contract vulnerabilities, network delays, chain reorganizations, or technical malfunctions;
unauthorized access to your Account or wallet, whether caused by your acts, omissions, or inadequate security practices;
suspension, modification, or unavailability of the Platform or any Service;
compliance actions taken by Byzanlink, including those arising from AML/CFT requirements, sanctions screening, or regulatory obligations; or
any Change in Law impacting the operation or availability of the Services.
All Services are provided on an “as is” and “as available” basis, and Byzanlink makes no warranties express or implied regarding accuracy, reliability, uninterrupted access, merchantability, or fitness for a particular purpose. Your use of the Platform is entirely at your own risk.
You agree to indemnify, defend, and hold harmless Byzanlink and its affiliates, directors, officers, employees, agents, and service providers from and against any and all claims, demands, liabilities, damages, losses, penalties, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:
your use or misuse of the Platform or the Services;
breach of these Terms of Use or any applicable law;
provision of inaccurate, incomplete, or misleading information;
any transaction initiated using your Account, credentials, or wallet—even if unauthorised, unless directly caused by Byzanlink’s gross negligence or wilful misconduct.
your violation of any third-party rights; or
any fraud, misconduct, or unlawful activity carried out through your Account or associated wallet.
Dispute Resolution
Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by “All disputes arising out of or in connection with the present contract shall be finally settled under the Rules of Arbitration of the International Chamber of Commerce by one or more arbitrators appointed in accordance with the said Rules. The seat of arbitration proceedings shall be the Road Town, British Virgin Islands, and the language of the arbitration shall be English.
You agree that any disputes will be resolved on an individual basis, and you waive any right to participate in a class action lawsuit or class-wide arbitration.
Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the British Virgin Islands, without regard to its conflict of law principles.
Change in Applied law: Any changes in Applicable Laws may affect the minting, issuance, holding, transfer, use, and/or redemption of any vaults. We reserve the right to suspend, whether for a period of time or indefinitely, your Account and/or the minting, issuance and redemption of the any vaults, as may be required by any changes in Applicable Laws. Under no circumstances shall Byzanlink be responsible or liable to you or any other person or entity for any direct, indirect, special or consequential losses (including loss of profits, business, or opportunities), damages or costs by reason of, or arising from, or as a consequence of any changes in Applicable Laws.
Change to Agreement: We may revise and update this Agreement from time to time in our sole discretion. All changes are effective immediately when posted and apply to all access to and use of the Products thereafter. Your continued use of the Products following the posting of changes constitutes your acceptance of such changes.
